Terms governing your use of Qosprey services

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Qosprey, including our website (qosprey.com), AdPilot ad management platform, web development services, AI solutions, digital marketing services, and all related offerings. By accessing or using our services, you agree to be bound by these Terms.

1. Definitions

  • "Services" — All products, platforms, tools, and professional services offered by Qosprey, including AdPilot.
  • "User" / "You" — Any individual or entity that accesses or uses our services.
  • "Platform" — The AdPilot ad management dashboard and related tools.
  • "Client" — A user who engages Qosprey for professional services (web development, marketing, etc.).
  • "Ad Accounts" — Third-party advertising accounts (Meta, TikTok, Google, Twitter) connected through the Platform.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our services. If you are registering on behalf of a business, you represent that you have authority to bind that entity.

2.2 Account Responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and complete registration information.
  • You are liable for all activities that occur under your account.
  • You must immediately notify us of any unauthorized access to your account.
  • One person or entity may not maintain more than one account without explicit approval.

3. AdPilot Platform Terms

3.1 Service Description

AdPilot provides a unified dashboard for managing advertising campaigns across multiple platforms (Meta, TikTok, Google Ads, Twitter). The platform offers campaign management, analytics, AI-powered optimization, fraud detection, and payment processing.

3.2 Third-Party Platform Compliance

By connecting ad accounts, you acknowledge and agree that:

  • You must comply with each third-party platform's terms of service, advertising policies, and community guidelines.
  • Qosprey is not responsible for actions taken by Meta, TikTok, Google, or Twitter regarding your ad accounts (suspensions, policy violations, etc.).
  • Changes to third-party APIs may temporarily affect Platform functionality.
  • Ad spend processed through the Platform is subject to each platform's billing terms.

3.3 AI Features

AI-generated content (ad copy, images, recommendations) is provided as suggestions. You are solely responsible for reviewing and approving all AI-generated content before deployment. Qosprey does not guarantee the performance of AI-generated creatives.

3.4 Fraud Detection

Our fraud detection features are provided as-is. While we strive for accuracy, we cannot guarantee the detection of all fraudulent activity or the absence of false positives.

4. Professional Services Terms

4.1 Scope of Work

For web development, AI solutions, and digital marketing services, the specific scope, deliverables, timeline, and pricing will be outlined in a separate Service Agreement or proposal. These Terms apply in addition to any such agreement.

4.2 Intellectual Property

  • Client content: You retain ownership of all content, data, and materials you provide to us.
  • Deliverables: Upon full payment, intellectual property rights for custom-built deliverables transfer to the client, unless otherwise specified.
  • Qosprey tools: We retain ownership of our proprietary tools, frameworks, libraries, and methodologies used in delivering services.
  • Portfolio usage: We reserve the right to showcase completed projects in our portfolio unless you request exclusion in writing.

5. Payment Terms

5.1 Pricing

Prices for AdPilot subscriptions are displayed on our pricing page. Professional service pricing is quoted per project. All prices are in Bangladeshi Taka (BDT) unless otherwise stated.

5.2 Payment Methods

  • bKash (primary payment method for Bangladesh)
  • Credit/debit cards
  • Bank transfer

5.3 Billing

  • AdPilot subscriptions are billed monthly or annually, in advance.
  • Professional services may require a deposit (typically 50%) before work begins.
  • Late payments may incur a 2% monthly surcharge after 15 days past due.
  • We reserve the right to suspend services for accounts with outstanding balances.

6. Acceptable Use

You agree not to:

  • Use our services for any illegal, fraudulent, or harmful purpose
  • Promote prohibited content (hate speech, violence, illegal substances, adult content)
  • Attempt to reverse-engineer, hack, or exploit the Platform
  • Interfere with or disrupt service infrastructure
  • Create fake accounts or misrepresent your identity
  • Use automated tools to scrape, crawl, or extract data from our Platform
  • Resell or sublicense access to the Platform without authorization
  • Violate any applicable laws of Bangladesh or the jurisdictions in which you operate

7. Service Availability & Maintenance

We strive for 99.9% uptime but do not guarantee uninterrupted access. Services may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will provide reasonable notice for planned downtime when possible.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Qosprey shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim shall not exceed the amount paid by you in the 12 months preceding the claim.
  • We are not responsible for losses arising from third-party platform changes, outages, or policy enforcement.
  • Campaign performance, ROI, and ad results are not guaranteed.

9. Indemnification

You agree to indemnify and hold harmless Qosprey, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the services, violation of these Terms, or violation of applicable laws.

10. Termination

  • You may cancel your account at any time through the Platform dashboard or by contacting support.
  • We reserve the right to suspend or terminate accounts that violate these Terms.
  • Upon termination, your access will cease and data will be retained per our Privacy Policy.
  • Outstanding payment obligations survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through the courts of Dhaka, Bangladesh. Both parties agree to attempt good-faith mediation before pursuing litigation.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
